1. Acceptance of Terms

Mom Ease Inc., dba Mom Ease Now, an Ohio corporation, provides an online platform that connects moms seeking support, connection, finding reliable help, sharing experiences and services (“Clients”) with individuals offering those services (“Providers”).

By accessing or using the services provided by Mom Ease Inc., dba Mom Ease Now, an Ohio corporation (“Mom Ease, “Company,” “we,” “us,” or “our”) via our website https://www.momeasenow.com/ or mobile applications (collectively, the “Platform”), you agree to comply with and be legally bound by these Terms of Use (“Terms”).

The Terms include a class action waiver and require binding arbitration on an individual basis to resolve disputes. The Terms also contain a disclaimer of warranties and a disclaimer of liability, as well as a release and indemnification by you. Details are set forth below.

If you do not agree to these Terms, do not use our Platform.

2. Services Provided

We do not employ Providers, nor are we responsible for the quality, timing, legality, or any other aspect of the services provided by Providers. We do not deliver, and are not responsible for, any Provider's services. We are not an agent of any Providers, and Providers are not employees or agents of our Company. We do not engage Providers. While we try to confirm that Providers meet certain requirements, we cannot and do not represent or warrant that any Providers are licensed, qualified, bonded, insured or capable of performing any service.

We do not make any guarantees, warranties or representations of any kind regarding Providers or any services of any Providers, and neither we nor any third party that refers you to Providers’ services will be responsible for any action or inaction of any Providers. You agree that we are not responsible for the accessibility or unavailability of any Providers, for the products or services they provide (or do not provide) or any claim resulting from your interactions and dealings with them. The applicable Providers are solely responsible for any and all injuries, illnesses, unlawful activity or misconduct related to their provision of home-related services booked by you after connection is made between you and the Providers via the Platform services.

The applicable Providers are solely responsible for any provision services and for any and all damages, costs, expenses, and liabilities incurred by you in connection with the fulfillment of or failure to perform the services. You waive the right to bring or assert any claim against us relating thereto.

3. Eligibility

You must be at least 18 years old to use the Platform. By using our Platform, you represent and warrant that:

- You are at least 18 years old;
- You can form a binding contract;
- All information you submit is and will remain truthful, accurate, and complete;
- You will not use the Platform under false pretenses or misrepresent any aspect of your identity, qualifications, or intent;
- You are a resident of the United States of America (“USA”) and will use the Platform within the USA; 
- You will maintain and update your account information to ensure accuracy;
- You are not in a country under a U.S. government embargo or designated as a "terrorist-supporting" country; and
- You are not on any U.S. government list of prohibited or restricted parties.

This service is available only to individuals who fulfill all the specified criteria. If you do not meet these criteria, you are prohibited from using the Platform.

Misrepresenting your identity, gender, background, criminal history, or intent can lead to immediate account termination and could expose you to civil and/or criminal liability. Mom Ease retains the right to take legal action against anyone who knowingly submits false or deceptive information. If you knowingly provide false information, including but not limited to any name, telephone number or other contact information that is not yours (whether it's someone else's or just made up), or fail to provide information that should be but is not included in information that we receive from a third-party, or if you fail to keep the information in your account with us current and correct, you agree to fully indemnify and be liable to us and each Provider or other party who relies on that false or incorrect information for any claims (including claims under the federal Telephone Consumer Protection Act or its state law equivalents), losses, liabilities, damages (direct, punitive, consequential and other), fines, penalties, and costs and expenses (including reasonable attorneys' fees) incurred by the affected parties in connection with the false or incorrect information. We have the exclusive right to choose counsel, at your expense, to defend any such claims.

Mom Ease is a distinct and original platform. All services, terms, and policies are uniquely developed to protect our members and uphold the integrity of our community.

4. Modifications to the Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating the “Effective Date” or by other reasonable means. Your continued use of the Platform after any changes means you accept the updated Terms.

5. Account Registration and Responsibilities

Users must register for an account to access certain features. You are responsible for:

- Maintaining the confidentiality of your login credentials;
- All activity that occurs under your account;
- Promptly notifying us of any unauthorized use; And
- Advising us whether you prefer female or male Providers or have no preference.

We reserve the right to suspend or terminate your account at our discretion.

6. Background Checks and Verification

All users are required to complete a background check and identity verification through  a third-party provider, Checkr, before participating on the platform. This process includes, but is not limited to:

- SSN Trace
- Sex offender registry check
- Global watchlist check
- National criminal search
- Unlimited county criminal search

These checks are conducted to foster a safe and trustworthy environment within the Mom Ease community. However, we do not warrant or guarantee the accuracy, completeness, timeliness, or reliability of any background check or identity verification information provided by Checkr or any third-party services. Background checks are limited in scope and may not reveal all pertinent information. The provisions in Sections 10 (Disclaimer of Warranties and 11 (Limitation of Liability) of these Terms apply fully to your use of Checkr.

7. User Content and Conduct

You are solely responsible for any content you post, upload, or share on the Platform and assume all liability regarding, (i) the information and content you contribute to the Platform; (ii) the information and content you post or otherwise make available through the Platform; and (iii) your interactions with other users through the Platform. You agree not to:

- Post false, misleading, or defamatory content;
- Infringe upon any third party’s intellectual property rights;
- Violate any law, regulation, or the rights of others;
- Use the Platform for commercial solicitation or spamming; and
- Interfere with the security, integrity, or performance of the Platform.

We may remove or edit content at our discretion. Postings will follow the terms of this Agreement. In addition to the foregoing, you will not post on the Platform, transmit to other users, or communicate in any way any content (or links thereto), or otherwise engage in any activity on the Platform or through the Platform, that:

- Promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual;
- Is intended to or tends to harass, annoy, threaten, or intimidate any other users of the Platform;
- Is obscene, profane, offensive, sexually oriented, or otherwise objectionable;
- Contains others’ copyrighted content (e.g., music, movies, videos, photographs, images, software, etc.) without obtaining permission first;
- Contains video, audio, photographs, or images of another person without his or her permission (or in the case of a minor, the minor’s legal guardian's permission);
- Promotes or enables illegal or unlawful activities, such as instructions on how to make or buy illegal weapons or drugs, violate someone’s privacy, harm or harass another person, obtain the identity information of another, create or disseminate computer viruses, or circumvent copyright laws;
- Is intended to defraud, swindle, or deceive any other user of the Platform;
- Uses an automatic device (such as a robot or spider) or a manual process to copy or scrape the Platform or its content for any purpose;
- Contains viruses, time bombs, Trojan horses, spyware, worms, or other harmful or disruptive codes, components, or devices;
- Disseminates another person’s personal information without his or her permission, or collects or solicits another person’s personal information for commercial or unlawful purposes;
- Uses scripts or other automated technology to access the Platform;
- Uses the Platform for a chain letter, junk mail, or spam e-mails;
- Collects or solicits personal information about anyone under the age of 18; or
- Is in any way used for or in connection with spamming, phishing, or similar activities.

8. Fees and Payments

You agree to pay all applicable fees associated with your use of the Platform. All payments are final and non-refundable, unless otherwise stated. We may use third-party payment processors to facilitate transactions.

You are solely responsible for properly cancelling your membership within the app manager platform. We are not responsible for any continued charges or access to the service if you fail to initiate cancellation through the correct procedures. Please refer to the app manager's instructions on how to cancel your membership. Once cancellation is initiated, it may take a certain period (as outlined in the app manager's instructions) to process, and you will be responsible for any fees incurred up to the date of cancellation.

9. Intellectual Property

All materials on the Platform, including but not limited to text, graphics, logos, and software, are the property of Mom Ease Inc., dba Mom Ease Now, or its licensors. The Platform and included content (and any derivative works or enhancements of the same) including, but not limited to, all text, illustrations, files, images, software, scripts, graphics, photos, sounds, music, videos, information, content, materials, products, services, URLs, technology, documentation, and interactive features (collectively, the Website Content) and all intellectual property rights to the same are owned by us, our licensors, or both. Additionally, all trademarks, service marks, trade names and trade dress that may appear on the Website are owned by us, our licensors, or both. Except for the limited use rights granted to you in these Terms of Use, you shall not acquire any right, title or interest in the Website or any Website Content. Nor may you use, copy, reproduce, or distribute any content from the Platform without our and/or the content owner(s) prior written permission.  Any rights not expressly granted in these Terms of Use are expressly reserved.

A. No Use of Confidential Information. "Confidential Information" is defined as all confidential, non-public, or proprietary information, whether or not marked as such, that has been or is disclosed or made available by Mom Ease or its Affiliates [including its or their employees, agents and representatives] to Users of the Platform in connection with use of the Platform including, without limitation, any Personally Identifiable Information, any inventions, discoveries, improvements, developments, ideas, know-how, trade secrets, technical and non-technical data, specifications, formulae, methods, processes, techniques, practices, procedures, manufacturing techniques, code, technology, designs, works of authorship, trade names, logos, and other intellectual property, whether or not patentable or protectable by copyright, business and product plans, research and development plans or results, and customer, sales, marketing, financial and pricing information, in each case whether disclosed or made available in visual, oral, written, electronic, graphic, or any other form, including in the form of samples, and all copies, reproductions, notes, and repositories thereof. You will not post, copy, modify, transmit, disclose, show in public, create any derivative works from, distribute, make commercial use of, or reproduce in any way any (i) Confidential Information or (ii) other copyrighted material, trademarks, or other proprietary information accessible via the Platform, without first obtaining the prior written consent of the owner(s) of such proprietary rights.

B. Other Users’ Information. Other registered users may post copyrighted information, which has copyright protection whether or not it is identified as copyrighted. You agree that you will not copy, modify, publish, transmit, distribute, perform, display, commercially use, or sell any third-party proprietary information available via the Platform.

C. License to Post Content. By posting information or content to the Platform, you automatically grant, and you represent and warrant that you have the right to grant, to Mom Ease and its users, an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, reproduce, publicly perform, publicly display and distribute such information and content, and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sub-licenses of the foregoing.

10. Links to Third-Party Websites and Dealing with Advertisers and Sponsors

The Platform may contain links to websites of third parties, including, without limitation, advertisers, which are not under the control of Mom Ease. Mom Ease is not responsible for the content of any linked site, any link contained in a linked site, or any changes or updates to such websites. Mom Ease provides these links to you only as a convenience, and the inclusion of any link does not imply that Mom Ease endorses or accepts any responsibility for the content on such third-party website.

We do not endorse or guarantee any products or services advertised through our service or any links we provide. We are not involved in any transactions between you and third-party providers, so any interactions or agreements you make with them are solely and entirely your responsibility.

Your correspondence or business dealings with, advertisers or sponsors found on or through the Platform (including payment and delivery of related goods, any personal information or opt-in contact information voluntarily given to advertisers and sponsors, and any other terms, conditions, warranties or representations associated with such dealings) are solely between you and such advertiser or sponsor. You agree that Mom Ease will not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings, including the sharing of the information you supply to Mom Ease with advertisers or sponsors, or as the result of the presence of such advertisers or sponsors on the Platform Please visit our Privacy Statement to learn more about how we use your information.

11. Disclaimer of Warranties

The Platform is provided “as is” and “as available.” We disclaim all warranties, express or implied, including but not limited to:

‍EXCEPT AS OTHERWISE EXPRESSLY SET FORTH IN THE PLATFORM OR THESE TERMS, MOM EASE EXPRESSLY DISCLAIMS, WAIVES, RELEASES AND RENOUNCES, ANY OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM ANY COURSE OF DEALING OR PERFORMANCE OR USAGE OF TRADE.

‍We do not guarantee results from using the Platform.

12. Limitation of Liability

To the fullest extent permitted by law:

A. Incidental Damages and Aggregate Liability. IN NO EVENT WILL MOM EASE BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL OR DIRECT OR INDIRECT DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OR INABILITY TO USE THE PLATFORM, SERVICES OBTAINED THROUGH USE OF THE PLATFORM OR INTERACTIONS OR AGREEMENTS BETWEEN USERS OF THE PLATFORM AND PROVIDERS, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OR CORRUPTION OF DATA OR PROGRAMS, SERVICE INTERRUPTIONS AND PROCUREMENT OF SUBSTITUTE, SERVICES EVEN IF MOM EASE KNOWS OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNDER NO CIRCUMSTANCES WILL THE AGGREGATE LIABILITY OF MOM EASE, IN ANY FORM OF ACTION WHATSOEVER IN CONNECTION WITH THESE TERMS OR THE USE OF THE PLATFORM OR SERVICE OBTAINED THROUGH USE OF THE PLATFORM, EXCEED THE PRICE PAID BY YOU FOR YOUR MOM EASE ACCOUNT, OR, IF YOU HAVE NOT PAID MOM EASE FOR THE USE OF THE PLATFORM, THE AMOUNT OF $100.00 OR ITS EQUIVALENT.     

 B. In no event shall we or our subsidiaries, affiliates, officers, directors, agents, partners, suppliers, or employees, be liable for:
• any indirect, punitive, incidental, special, consequential, or exemplary damages arising from or related to your use of, or inability to use, the service. This includes damages for loss of profits, goodwill, use, data, or other intangible losses;
• any damage, loss, or injury resulting from hacking, tampering, or unauthorized access to your account or the information within it;
• errors, mistakes, or inaccuracies in the content provided;
• personal injury or property damage resulting from your use of the service;
• unauthorized access to our secure servers or personal information stored therein;
• interruption or cessation of transmission to or from the service;
• bugs, viruses, trojan horses, or similar harmful elements transmitted through the service;
• errors or omissions in any content posted, transmitted, or made available through the service;
• defamatory, offensive, or illegal conduct of any user or third party. Our liability is limited to the amount you have paid us in the preceding 12 months, or the duration of your agreement with us, whichever is shorter. 

This limitation of liability section will apply to the fullest extent permitted by law in the applicable jurisdiction whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, whether the alleged liability is foreseen or unforeseen even if you have been advised of the possibility of such damage.

Please note that in some jurisdictions, the exclusion or limitation of incidental or consequential damages may not be allowed. This means that these limitations or exclusions might not apply to you. You have specific legal rights, which may vary depending on your jurisdiction. The disclaimers, exclusions, and limitations of liability outlined here may not apply to the extent prohibited by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Mom Ease Inc., dba Mom Ease Now, along with its affiliates, officers, directors, and employees, from any claims, losses, damages, liabilities, costs, or expenses (including attorney fees) that arise from your use of the Platform, your inability to use the Platform, services obtained through the use of the Platform, or any interactions or agreements between users of the Platform or with Providers, or your violation of these terms.

14. Termination

We may suspend or terminate your access to the Platform at any time and for any reason, with or without notice. Upon termination, all rights and licenses granted to you will immediately cease.

Ending your account does not release you from the duty to settle any unpaid fees or charges that were accrued before the termination date. For additional details on payment obligations, refer to Section 7 (Payment and Fees).

15. Dispute Resolution

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of laws principles. Any dispute you might have with Mom Ease shall be resolved through virtual mediation or arbitration utilizing the Cincinnati Bar Alternative Dispute Resolution Service (CBADR) and its rules, and any Mediator decision or Arbitrator award issued in connection with a dispute shall be final and binding on you and Mom Ease.

Any dispute will be conducted only on an individual basis and not in a class, consolidated or representative action or arbitration or as a named or unnamed member in a class, consolidated, representative or private attorney general legal action. If you are a named or unnamed member in a class, consolidated, representative or private attorney general legal action you agree that you will opt out of such legal action. Your access and continued use of the Platform and/or the services signifies your explicit consent to this waiver.

16. False Representation and Legal Action

Every user of the Mom Ease platform must consistently provide accurate, honest, and complete information. By engaging with the platform, you guarantee that all information submitted, including but not limited to your identity, background, experience, qualifications, and intentions, is truthful and not deceptive.

17. Surviving provisions

These Terms will continue in effect until your account is terminated by Mom Ease or you. Upon termination of your account, the provisions contained in this document that by their context are intended to survive termination or expiration will survive, including but not limited to the following:

• your grant of licenses under this document will survive indefinitely;
• your indemnification obligations will survive for a period of five years from the date of termination;
• the disclaimer of warranties and representations, and the stipulations under the section containing indemnity and limitation of liability provisions, will survive indefinitely.

Any user who knowingly and deliberately submits false, misleading, or incomplete information, or misrepresents themselves in any way, violates these Terms. This includes, but is not limited to:
- Falsifying personal or identity details
- Concealing relevant background information
- Misrepresenting your status, experience, or intent
- Creating or using multiple accounts under different names for deceptive purposes
- Circumventing or attempting to bypass required background checks

Violations may result in immediate suspension or permanent termination of accounts without notice. In cases of intentional misrepresentation, fraud, or actions that threaten the platform's safety, trust, or legal integrity, Mom Ease reserves the right to take civil or criminal legal action to the fullest extent permitted by law.

We are dedicated to fostering a secure, honest, and reliable community. These precautions exist to safeguard our users and uphold the Platform's integrity.

18. General

Assignment. The Terms, and any rights and licenses granted hereunder, may be transferred or assigned by you only with our prior written consent, but may be assigned by us without restriction and without notice to you.

Entire Agreement and Severability. The Terms (which, as noted above, include the Privacy Policy and any applicable Additional Terms) constitute the entire agreement between you and us concerning services and supersede all prior or contemporaneous communications of any kind between you and us with respect to services. If any provision of the Terms is held by a court or other tribunal of competent jurisdiction to be invalid, void, or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of the Terms, and the remainder of the Terms shall remain in full force and effect.

Waiver. No waiver of any provision of the Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under the Terms shall not constitute a waiver of such right or provision.
